This agreement represents the complete agreement and understanding between EZ2 Network, Inc. Internet Services and the account holder and supersedes any other written or oral agreement. Upon notice published on-line EZ2 Network, Inc. may modify these terms and conditions, amplify them, and/or modify the prices, as well as discontinue or change the services offered.

If you do not agree to these terms and conditions, please notify our accounting department at 805.378.6240 or 888.817.8323 so we may initiate a closure of your account.

1.0 Provision of services

1.1 EZ2 Network, Inc. will provide services on its computing and network systems to individual and business account holders in exchange for payment of fees and compliance with the terms and conditions of this document.

1.2 EZ2 Network, Inc. Services are defined as the use by the account holder of computing, telecommunications, and information services provided by EZ2 Network, Inc.. These services also include the provision of access to computing, telecommunications, software, and information services provided by others via the Global Internet.

1.3 EZ2 Network, Inc. Services include access to the complete USENET discussion groups (news groups). Some of the discussions contain language or pictures about subjects intended for Adult audiences. Account holders less than 18 years old must have a parent or legal guardian agree to these conditions to indicate acceptance and knowledge of this.

1.4 EZ2 Network, Inc. will publish a notice of fee increases 30 days before such increases take effect.

1.5 EZ2 Network, Inc. will attempt to provide the highest quality and reliability of service, but service is not guaranteed. Loss of data or service due to hardware, software, or other failure does not give the user the right to compensation, financial or otherwise.

2.0 Use of Material

2.1 Public Domain materials (e.g., images, text, and programs) may be downloaded or uploaded using EZ2 Network, Inc. Services. Account holders may also re-distribute materials in the public domain. The account holder assumes all risks regarding the determination of whether the material is in the public domain.

2.2 As provided by United States federal law and by International treaties, copyrighted materials (e.g., images, text, and programs) may not be uploaded using EZ2 Network, Inc. Services without the permission of the copyright holder. Copyrighted materials may be downloaded for personal or business use. Except as expressly permitted, materials under copyright may not be distributed to others. Copyrighted material may not be changed nor can the author attribution notices nor the copyright notices be modified.

2.3 Note that some materials available on the global Internet are called "SHAREWARE." These materials may be downloaded and used, but they are copyrighted materials. The copyright holder usually gives permission to use the materials for examination. If you choose to continue using the materials, the copyright holder requests that you register your usage and may ask that you pay a license fee.

3.0 Use of Services

3.1 EZ2 Network, Inc. accounts are for individual users and the account holder therefore agrees not to share the password of the account. The account holder acknowledges that EZ2 Network, Inc. will terminate the account without notice if the account holder does not comply.

3.2 The account holder agrees to maintain a secure password to the account. Secure passwords are those that are between 6 and 8 characters long, contain upper and lower case letters, and numbers or other characters, and cannot be found in direct or reverse order in a dictionary, without regard to the language of the dictionary.

3.3 The account holder agrees not to use any process, program, or tool via EZ2 Network, Inc. Services for guessing the passwords of account holders on EZ2 Network, Inc. or other systems. The account holder agrees not to use EZ2 Network, Inc. services to make unauthorized attempts to access the systems and networks of others.

3.4 The account holder agrees to use the services provided by EZ2 Network, Inc. as permitted by applicable local, state, and federal laws. The account holder agrees, therefore, not to use these services to conduct any business or activity or solicit the performance of any activity that is prohibited by law.

3.5 EZ2 Network, Inc. Services should not be used to send unsolicited advertising or promotional materials to other network users. Electronic mail and appropriate USENET news groups may be used in the conduct of legitimate businesses.

4.0 Indemnification

4.1 The account holder acknowledges that EZ2 Network, Inc. makes an honest effort to keep the information available on EZ2 Network, Inc.’s systems accurate. However, EZ2 Network, Inc. can make no warranty of any kind, either expressed or implied, regarding the quality, accuracy, or validity for the date and/or information available. Use of information obtained from or through EZ2 Network, Inc. is at the risk of the account holder.

4.2 The account holder also acknowledges that the information available through the interconnecting networks may not be accurate. EZ2 Network, Inc. has no ability or authority over the material. EZ2 Network, Inc. can make no warranty of any kind, either expressed or implied, regarding the quality, accuracy, or validity of the data and/or information residing on or passing through these networks. Use of information obtained from or through EZ2 Network, Inc. Services is at the risk of the account holder.

4.3 The account holder agrees to indemnify and hold EZ2 Network, Inc. harmless from any claims, including attorney’s fees, resulting from the account holder receiving EZ2 Network, Inc. services which cause direct or indirect damage to another party.

5.0 Payment of fees and penalties

5.1 The EZ2 Network, Inc. accounting cycle begins on the starting day of your service. Charges for terminating accounts are not prorated.

5.2 Service payments will be submitted in advance of receiving services.

5.3 Delinquent accounts are those that remain unpaid at the beginning of the next accounting cycle.

5.4 Accounts that are delinquent by one accounting cycle are put on "accounting hold" and may not be used. Accounts that are unpaid for two accounting cycles automatically have their files archived. Accounts that are unpaid for three accounting cycles will have their files purged. EZ2 Network, Inc. accounts continue to accrue charges while they are on hold.

5.5 There is a service reconnection charge equal to the currently charged set-up fee to remove accounts from accounting hold status.

5.6 The account holder acknowledges responsibility for the account until payment in full is made.

6.0 Account Cancellations

6.1 Cancellation requests for EZ2 Network, Inc. accounts must be received in writing via Email, fax, or postal service at EZ2 Network, Inc.’s main office. Such requests must be received by the 5 pm Pacific time on the 25th of the month in order to be processed by the beginning of the next accounting cycle.

6.2 All EZ2 Network, Inc. accounts must be paid in full before the transaction will be considered complete.

7.0 Abuse of Services

7.1 Any use of the EZ2 Network, Inc. system resources that disrupts the normal use of the system for other EZ2 Network, Inc. customers is considered to be abuse of system resources and is grounds for administrative intervention.

7.2 Modification, alteration, reverse engineering, decompilation, disassembly or creation of derived works based on EZ2 Network, Inc. proprietary network protocols is an abuse of EZ2 Network, Inc. services.

7.3 Depending on the nature and the severity of the abuse, the user may receive an E-mail warning or have their account suspended by EZ2 Network, Inc. Technical Support. If the misuse is unintentional, the suspension may be rescinded following discussion with EZ2 Network, Inc. Technical Support. If the misuse is intentional, the suspension may be rescinded at the discretion of the Operations Manager, and may require the payment of a service reconnection charge. Occasionally, unintentional misuse is misclassified as intentional misuse. Customers who believe their activity has been misclassified may appeal to the Operations Manager.

7.4  Violations of any of the EZ2 Network, Inc. conditions of use are unethical and may be criminal offenses.  You are expected to report to EZ2 Network, Inc. any information you may have concerning instances in which the conditions of use have been or are being violated. When EZ2 Network, Inc. becomes aware of possible violations, we will initiate an investigation. At the same time, in order to prevent further possible unauthorized activity, EZ2 Network, Inc. may suspend access to services to the individual account in question. Confirmation of violations may result in cancellation of the individual account and/or criminal prosecution. The account suspension may be rescinded at the discretion of the Operations Manager, following payment of a reconnection charge.

7.5 Users are permitted only ONE simultaneous dial-in. You may use only ONE of our modem lines at a time. If you dial-in a second time, it will count as a second dial-in and therefore you will accrue an additional charge to your account.

7.6 Idle dial-ins and logins for more than 20 minutes will be disconnected without warning.

7.7 UNSOLICITED MASS EMAIL ("SPAMMING") IS NOT PERMITTED. EZ2 users sending _unsolicited_ email to multiple recipients (EZ2 or non-EZ2 addresses) WILL have any and all accounts with EZ2 IMMEDIATELY TERMINATED.

7.8  EZ2 reserves the right to terminate or suspend your account without notice for any activity deemed unreasonable by Management or System Administration staff. Such activity may include (but is not necessarily limited to):

a. Security violation, defined as unauthorized access of this or any other system using your EZ2 account, whether proven or strongly suspected.

b. Giving your password to someone else.

c. Harrassment of others in the Internet community by email, newsgroups,IRC, or any other medium using your EZ2 account.

d. "Spamming", defined as unsolicited information or advertisement via newsgroups or email, or propagation of such material, using your EZ2 account.

e. IRC bots, floods, or DCC (sending-receiving of files over IRC) using any EZ2 server. Any user account found to be the cause of the "EZ2.NET" domain being banned from any IRC channel or host will be terminated.

f. Distribution or storage of illegal or pirated software with-from your EZ2 account.

g. Non-payment of user fees, including declined credit cards or returned checks.

7.9 Unlimited Personal Accounts: The dial-up accounts provided to all EZ2 Network, Inc. users are intended for low volume, non-commercial use. Unlimited access means that you may log on an unlimited number of times. However, it does not mean an unlimited amount of time. One example of inappropriate use is "Parking" on line: leaving your computer connected to the Internet with no activity. This unfairly and unnecessarily ties up modems, denying access to other users. Please be considerate to others by logging off when you are not actively using the Internet. This gives other users access to the Internet without busy signals and keeps the monthly cost low. The busiest times for the Internet are between the hours of 7 PM and 11 PM, Monday through Thursday. During this time period, we request that you pay close attention to your connectivity to allow for maximum connectivity to all users. EZ2 Network, Inc. users with exceptionally heavy usage will be asked to switch to a dedicated PPP level of service. You may use your account as much as you wish. However, if you consistently stay online for extensive periods of time, you will be asked to switch to a dedicated connection. Currently, users have a twenty-minute time-out. If you are inactive for twenty minutes, your connection will be dropped. Users are not allowed to circumvent this restriction through any electronic or mechanical methods. Electronic or mechanical methods include pinging the mail server and electronic or software auto dialer features to maintain active connections. Any account that utilizes more than 240 hours per month does not quality as a personal dial-up account and can result in the user’s account being disabled. Continued abuse or violations of the above conditions may result in a customer’s account being permanently disabled with no refund and all previous agreements rendered null and void.

7.10 Violation of any user policy will be handled in the following manner :

User's account access will be suspended. It is the user's responsibility to contact EZ2 for remedy. User's account will be reactivated at the discretion of EZ2 Management or System Administration staff. User is still responsible for account fees while account is suspended, as account suspension is NOT equivalent to cancellation.

Exceptions:
1) Violation of the "NO SPAMMING" rule will result in immediate account termination.
2) Non-payment of account fees by due date will result in immediate suspension of account. User may reactivate account within 10 business days by arranging payment. User is still responsible for fees while account is suspended, as suspension is NOT equivalent to account cancellation.
